The path

The order matters. Here it is.

  1. Pick and check your name

    It has to end in LLC or Limited Liability Company and can't match an existing NC entity.

  2. Choose a registered agent

    Someone with a physical NC street address who receives legal papers for the business.

  3. File the Articles of Organization

    This is the step that creates the LLC. It's filed online with the Secretary of State.

  4. Get your EIN

    Your business's tax ID. It's free from the IRS, so never pay a site for it.

  5. Sign the operating agreement

    Spells out how the LLC runs and helps keep your business and personal money separate.

  6. Open the bank account

    Run everything through it from day one. Then check whether your business owes NC sales tax.

Is this legal advice?

No. It's a guide to the filing process, and it isn't legal or tax advice. For questions about your own situation, ask a North Carolina attorney or a CPA.

Do I still pay the state's filing fee?

Yes. The state fee goes to the NC Secretary of State when you file. The kit costs $14 and doesn't include it. The kit lists the amount as of publication, and you should confirm the current one on sosnc.gov before you pay.

Why pay $14 if the steps are free online?

The forms and government sites are free, and the kit doesn't hide that. What you're paying for is the order to do things in, the worksheets so you gather everything once, and a plain-English walkthrough of each screen. If you'd rather piece it together yourself, you can.

Do I need a lawyer?

Many one-owner businesses file on their own. If you have more than one owner, complicated assets, or a specific legal question, talk to a North Carolina attorney. The kit says when.
